Terms and conditions
General Terms and Conditions of Phone City B.V.
1. Definitions
In these Terms and Conditions, the following definitions apply:
- Seller: Phone City B.V., the party offering Products for sale.
- Buyer: the person or company purchasing Products from the Seller.
- Products: the goods offered and delivered by the Seller.
- Agreement: the contract between the Seller and Buyer concerning the sale of Products.
2. Applicability
2.1 These Terms and Conditions apply to all offers, orders, and agreements between the Seller and Buyer concerning the sale and delivery of Products.
2.2 Deviations from these Terms and Conditions are only valid if explicitly agreed in writing.
3. Offers and Formation of Contract
3.1 All offers are without obligation and subject to availability.
3.2 The contract is concluded once the Seller confirms the Buyer’s order in writing or electronically.
3.3 The Seller reserves the right to refuse orders or deliveries without providing reasons.
4. Prices and Payment
4.1 All prices are in Euros, excluding VAT and other government charges unless stated otherwise.
4.2 Prices are based on the rates valid at the time of the order. The Seller reserves the right to adjust prices in case of changes in costs.
4.3 Payment must be made according to the agreed payment terms. Unless otherwise agreed, payment is due within 14 days after invoice date.
4.4 If the Buyer fails to pay on time, the Seller may charge statutory interest and collection costs.
5. Delivery and Risk
5.1 Delivery terms and estimated delivery dates are indicative and not binding unless explicitly agreed.
5.2 Risk of loss or damage to Products passes to the Buyer at the moment of delivery or collection.
5.3 The Seller is entitled to deliver Products in parts and invoice them separately.
6. Returns and Cancellation
6.1 Cancellation or returns are only accepted if explicitly agreed and comply with the Seller’s return policy.
6.2 Products returned must be in original condition and packaging unless defective.
6.3 Custom or special order Products are non-returnable unless defective.
7. Warranty and Liability
7.1 The Seller guarantees that the Products comply with agreed specifications and are free from manufacturing defects at the time of delivery.
7.2 Warranty claims must be reported within conform the warranty peiod os the goods.
7.3 The Seller’s liability is limited to replacement or repair of defective Products or refund of the purchase price.
7.4 The Seller is not liable for indirect damages, lost profits, or consequential damages.
8. Complaints
8.1 Complaints about Products or services must be reported in writing within 7 days after delivery.
8.2 The Seller will investigate complaints and respond within a reasonable time.
9. Privacy and Data Protection
9.1 The Seller processes personal data of Buyers according to applicable privacy laws.

10. Force Majeure
10.1 The Seller is not liable for failure to perform obligations due to circumstances beyond its control, including but not limited to natural disasters, strikes, transport delays, or governmental measures.
11. Applicable Law and Disputes
11.1 Dutch law applies to all agreements between the Seller and Buyer.
11.2 Disputes will be settled exclusively by the competent court in the district where the Seller is established.
